PHILIPS TO PROPOSE RE-APPOINTMENT OF MANAGEMENT BOARD MEMBERS AND SUPERVISORY BOARD MEMBERS TO SHAREHOLDERS

Amsterdam, The Netherlands – Royal Philips Electronics (AEX: PHI, NYSE: PHG) today announced that its Supervisory Board will propose to the 2007 Annual General Meeting of Shareholders to re-appoint Mr Gerard Kleisterlee, President & CEO, for four years, effective April 1, 2007.

 

Philips' Supervisory Board will also propose to the General Meeting of Shareholders, which will be held March 29, 2007, to re-appoint Dr. Gottfried Dutiné, Executive Vice-President of Royal Philips Electronics and a member of the Board of Management for four years effective April 1, 2007.

 

The General Meeting of Shareholders will also be asked to appoint Mr Steve Rusckowski, CEO of Philips Medical Systems, as a member of the Board of Management, effective April 1, 2007. Mr Rusckowski was appointed CEO of Philips Medical Systems effective November 1, 2006.

 

Furthermore, the Supervisory Board will propose to the General Meeting of Shareholders to appoint Mr Heino von Prondzynski as a member of the Philips Supervisory Board. Submitted for re-appointment will be Mr Jan-Michiel Hessels, Mr Cees van Lede and Mr John Muro Thompson as member of the Supervisory Board. All appointments to the Supervisory Board will be effective March 29, 2007.

 

"The present four-year term of Mr Kleisterlee is due to expire in 2008. In the light of the importance of continuity in the successful implementation of the company's strategy, the Supervisory Board has deemed it desirable to ask Mr Kleisterlee to stay on as President & CEO beyond that date," Mr Wim de Kleuver, chairman of the Supervisory Board of Royal Philips Electronics, said. "The Supervisory Board is pleased that he is prepared to do so and proposes to the 2007 General Meeting of Shareholders to re-appoint Mr Kleisterlee as President & CEO and member of the Board of Management for a new four-year term ending April 1, 2011."

 

Mr Kleisterlee has been a member of the Group Management Committee since January 1, 1999 and Executive Vice-President of Philips and a member of the Board of Management since April 1, 2000. He was appointed Chief Operating Officer of Philips as of September 1, 2000. On April 30, 2001, he took office as President & CEO of Royal Philips Electronics.

 

Mr Dutiné was appointed a member of the Board of Management as per March 28, 2002. Mr Dutiné joined Philips as of February 1, 2002. Before joining Philips, he has held senior management positions at Rockwell-Collins, Motorola, Robert Bosch and Alcatel. In the Board of Management Mr Dutiné holds responsibility for Philips' country organizations, government relations and selected strategic initiatives, including the initiative to optimize national sales channels across divisions.

 

Before becoming CEO of Philips Medical Systems, Mr Rusckowski had global responsibility for Imaging Systems, one of the business groups of the Medical Systems division. In addition, he played a lead role in designing strategies to expand Philips' presence in the personal health and well-being domain. Since 1984, Mr Rusckowski has held numerous management positions with the healthcare division of Hewlett-Packard/Agilent Technologies. He was Senior Vice President and General Manager of Agilent's Healthcare Solutions Group when Philips acquired this business in 2001.

Mr von Prondzynski was a member of the Roche Executive Committee and Chief Executive Officer of the Diagnostics Division of the Switzerland-based company. Before that, he was General Manager at Germany-based Chiron Behring GmbH, and held several managerial positions at Bayer AG of Germany. Mr von Prondzynski is of German nationality.

Philips' 2007 Annual General Meeting of Shareholders will be held at the Hotel Okura in Amsterdam on March 29, 2007, beginning at 14:00 hours CET.
